Hueman Studio Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the website located at https://www.huemanstudio.com (the "Site"), operated by Hueman Studio ("Hueman Studio," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms, all applicable laws, and all applicable regulations, and you accept responsibility for compliance with any applicable local laws. If you do not agree with any part of these Terms, you may not access or use the Site. The materials on this Site are protected by applicable copyright and trademark law.

2. Use License

Permission is granted to temporarily access and view the materials (information, text, graphics, and software) on the Site for your personal, non-commercial use only. This is a license, not a transfer of title, and under this license you may not:

  • modify or copy the materials except as needed for ordinary personal viewing;

  • use the materials for any commercial purpose or for any public display without our prior written consent;

  • attempt to decompile or reverse engineer any software contained on the Site;

  • remove any copyright or other proprietary notations from the materials; or

  • transfer the materials to another person or "mirror" the materials on any other server.

This license terminates automatically if you violate any of these restrictions and may be terminated by Hueman Studio at any time. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed format.

3. Intellectual Property

All content on the Site — including the Hueman Studio name and logo, text, graphics, designs, photographs, illustrations, and case-study work — is the property of Hueman Studio or its clients and licensors and is protected by United States and international intellectual property laws. Nothing in these Terms grants you any right to use any Hueman Studio trademark, logo, or brand asset without our prior written permission.

Ownership of any custom work produced by Hueman Studio for a client is governed by the separate written agreement (such as a proposal, statement of work, or services contract) between Hueman Studio and that client, and not by these Site Terms. Unless a written agreement states otherwise, Hueman Studio retains the right to display completed work in its portfolio, case studies, and award submissions.

4. Client Services

Inquiries submitted through the Site (for example, through our "Start a Project" form) do not create a binding engagement. Any project engagement, including scope, deliverables, timelines, fees, and intellectual-property terms, is governed by a separate written agreement between you and Hueman Studio. In the event of a conflict between that agreement and these Terms, the separate agreement controls with respect to the services it covers.

5. Disclaimer

The materials on the Site are provided on an "as is" and "as available" basis. Hueman Studio makes no warranties, express or implied, and hereby disclaims all other warranties, including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or other violation of rights. Hueman Studio does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Site or otherwise relating to such materials or to any sites linked to the Site.

6. Limitation of Liability

In no event shall Hueman Studio or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or arising from business interruption) arising out of the use of, or inability to use, the materials on the Site, even if Hueman Studio or an authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless Hueman Studio and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

8. Accuracy of Materials

The materials appearing on the Site could include technical, typographical, or photographic errors. Hueman Studio does not warrant that any of the materials on the Site are accurate, complete, or current. Hueman Studio may change the materials on the Site at any time without notice but is not obligated to update them.

9. Third-Party Links

The Site may contain links to third-party websites that are not owned or controlled by Hueman Studio. We have not reviewed all such sites and are not responsible for their content. The inclusion of any link does not imply our endorsement. Use of any linked website is at your own risk.

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

11. Modifications

Hueman Studio may revise these Terms at any time without notice. By continuing to use the Site after changes are posted, you agree to be bound by the then-current version of these Terms. We encourage you to review this page periodically.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. You irrevocably agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Site shall be the state and federal courts located in San Bernardino County, California, and you submit to the personal jurisdiction of those courts.
